Creator Studio Terms & Conditions

1. Acceptance

By downloading or using the Shopsense Creator Studio app ("App"), you agree to these Terms and Conditions ("Terms"). If you do not agree, do not use the App. These Terms form a binding agreement between you and Shopsense AI Inc. ("Shopsense," "we," "us," or "our").

2. What the App Does

Shopsense Creator Studio is a creator management tool. It allows authorized creators to:

  • Submit content (images, links, captions, and other media) for AI-powered product matching
  • Review and curate product recommendations generated by our AI
  • Organize products into collections
  • Manage and update their Shopsense-powered storefronts

The storefronts themselves are published at web URLs and are not part of this App. The App is only the curation and management layer.

3. Eligibility and Access

You may use the App only if:

  • You are 18 years of age or older
  • You have been authorized to access the App through a Shopsense partner platform (such as Opendorse) or directly by Shopsense
  • You have a valid account in good standing
  • You are not prohibited from using the App under applicable law

Access to the App may be provisioned through a partner organization. In those cases, your use of the App is also governed by your agreement with that partner.

4. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us immediately at support@shopsense.ai if you suspect unauthorized access.

Do not share your account with others. Each creator requires their own account.

5. Content You Submit

You retain ownership of the content you submit through the App ("Your Content"). By submitting content, you grant Shopsense a non-exclusive, worldwide, royalty-free license to use, process, and display Your Content for the purpose of operating the service, including AI product matching, storefront generation, and model improvement.

You represent and warrant that:

  • You own or have the rights to submit Your Content
  • Your Content does not infringe any third-party intellectual property rights
  • Your Content complies with all applicable laws
  • Your Content does not contain material that is defamatory, obscene, or otherwise objectionable

We reserve the right to remove content that violates these Terms.

6. AI Processing

The App uses artificial intelligence to analyze Your Content and identify products. This is an automated process. Product matches are generated by our models and may not be perfect. You are responsible for reviewing and approving the products and collections associated with your storefront before they are published.

We use the content you submit and the feedback you provide (such as accepting or rejecting product matches) to improve our AI systems. You can request that your data not be used for model training by contacting us at support@shopsense.ai.

7. Commerce and Affiliate Revenue

Storefronts generated through the App may include affiliate links to retail partners. When a viewer purchases a product through your storefront link, you or your partner organization may receive affiliate compensation based on the terms of your specific arrangement with Shopsense or the applicable partner platform.

Shopsense does not guarantee any specific level of affiliate earnings. Revenue depends on traffic, conversion rates, and retailer program terms, all of which may change.

8. Prohibited Conduct

You may not:

  • Use the App for any unlawful purpose
  • Submit content that infringes third-party rights
  • Attempt to reverse engineer, decompile, or extract source code from the App
  • Use automated tools to scrape or access the App outside of its intended interface
  • Impersonate any person or entity
  • Interfere with or disrupt the App or its infrastructure
  • Use the App to promote products that are counterfeit, dangerous, or otherwise prohibited

9. Intellectual Property

The App, including its design, code, AI models, and branding, is owned by Shopsense AI Inc. and protected by intellectual property law. These Terms do not grant you any rights in Shopsense's intellectual property other than the limited license to use the App as described here.

"Shopsense," "Shopsense Creator Studio," and associated logos are trademarks of Shopsense AI Inc.

10. Third-Party Services

The App may integrate with third-party platforms (such as your partner organization's platform, retailer systems, or affiliate networks). Your use of those services is subject to their own terms and privacy policies. Shopsense is not responsible for third-party services.

11. Disclaimer of Warranties

The App is provided "as is" and "as available." Shopsense makes no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the App will be uninterrupted, error-free, or free of harmful components.

12. Limitation of Liability

To the maximum extent permitted by law, Shopsense's total liability to you for any claims arising from these Terms or your use of the App will not exceed the greater of (a) the amount you paid to Shopsense in the 12 months preceding the claim or (b) $100 USD.

Shopsense is not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or loss of goodwill.

13. Indemnification

You agree to indemnify and hold harmless Shopsense, its officers, directors, employees, and partners from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the App, Your Content, or your violation of these Terms.

14. Termination

Shopsense may suspend or terminate your access to the App at any time, with or without notice, if you violate these Terms or for any other reason at our discretion. You may stop using the App at any time.

Upon termination, your license to use the App ends. Sections that by their nature should survive termination (including Sections 5, 9, 11, 12, and 13) will survive.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes through the App or by email. Continued use of the App after changes take effect constitutes acceptance of the revised Terms.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes will be resolved through binding arbitration on an individual basis under the rules of the American Arbitration Association. You waive any right to participate in a class action.
